PURCHASE TERMS (“Purchase Terms”)
TO PROTECT YOUR OWN INTEREST, YOU MUST READ AND UNDERSTAND THE FOLLOWING TERMS
BEFORE PURCHASING PRODUCTS FROM OUR WEBSITE.
When you buy products from us under these Purchase Terms, the law gives you certain legal rights including that the products are of satisfactory quality, as described, and fit for their purpose. Nothing in these Purchase Terms affects those legal rights. If you are uncertain as to your rights under these Purchase Terms or if you want further explanation about these Purchase Terms, you should contact your legal counsel before entering into a purchase agreement with us. By entering into a purchase agreement, you agree that you have had sufficient time to review these Purchase Terms with your legal representative, and that you agree to these Purchase Terms without amendment.
1. Introduction.
(a) These Purchase Terms explain how you may buy products from the Site. You should read the following Purchase Terms carefully before buying any products. When buying any products you agree to be bound by these Purchase Terms and the documents referred to in them. If you do not agree with or accept any of these Purchase Terms, you will not be allowed to buy any products.
(b) We are registered in the following province of Canada: Manitoba.
(c) These Purchase Terms are only available in English. No other languages will apply to these Purchase Terms.
2. Definitions. In these Purchase Terms, the following words have the following meanings:
"Confirmation E-Mail" has the meaning given to it in para. 3.(b)(3);
"Contract" has the meaning given to it in para. 3.(b)(3);
"Site" includes the following website https://driveprotected.com/ and all associated web pages;
"Purchase Terms" means the terms and conditions set out in this document;
"We", "Us" or "Our" means Drive Protected, a business registered in the Province of Manitoba, and a subsidiary of Reflection Automotive Inc., a corporation incorporated pursuant to the laws of the Province of Manitoba in Canada with its registered office at 885 Monticello Wy, Winkler, MB; and "You" or "Your" means the person buying products from the Site.
3. Ordering Products from the Site.
(a) When placing an order on the Site, it is your responsibility to ensure that all the information you provide to us is correct. We recommend that you take enough time to read and check your order before completing the online checkout process. You will be responsible for all losses, expenses, and other costs incurred by us which are caused by an untrue statement made by you.
(b) The steps required to create the Contract between you and us are as follows:
5. Delivery. Delivery of the products will take place when we deliver them to the address that you gave to us. We use Canada Post and UPS to deliver our products (“Delivery Service Provider”). Delivery dates and times wholly depend on the Delivery Service Providers and may change. We will provide you with a tracking number when the package is shipped. The delivery date provided by the Delivery Service Provider will be incorporated into this agreement but may change at the sole and absolute discretion of the Delivery Service Provider. You will be responsible to be present at the time of delivery, if required by the Delivery Service Provider, and you will be responsible for the products when delivery has taken place (including ensuring that you follow any instructions or manuals provided with the products). You will own the products when we receive payment in full for them and any related delivery charges.
6. Payment.
(a) You may pay for the products by using the following payment methods: most major credit cards, PayPal, or Sezzle.
(b) We will do all that we reasonably can to ensure that all of the information which you provide to us when paying for the products is secure by using an encrypted secure payment mechanism, but in the absence of negligence of our part we will not be liable for any loss that you may suffer if a third party gains unauthorized access to any information that you provide to us. To avoid a third party gaining unauthorized access to any information that you provide to us, we recommend that you install appropriate anti-virus and anti-spyware software on your computer.
(c) All payments by credit card or debit card need to be authorized by the relevant card issuer. If we cannot supply you with the products that you ordered, but you have already paid for them, we will refund you as soon as possible, and in any event within thirty (30) days. If your payment is not received by us and you have already received the products that you ordered from us, you must pay for such products within thirty (30) days or must return them to us as soon as possible. You must keep the products in your possession, take reasonable care of them (including ensuring that you follow any instructions or manuals provided with the products) and not use them before you return them to us. If you do not pay for the products or return them to us: (i) we may collect the products from you at your expense. We will e-mail to advise you if we intend to do this; and/or (ii) we may also charge interest on any balance outstanding at the rate of 3% per annum above the Royal Bank of Canada’s prime rate. We will e-mail to advise you if we intend to do this.
(d) The price of the products: (i) does not include applicable taxes, which will be added at the time of checkout; (ii) does not include the cost of delivering the products, which will be added; and/or (iii) is quoted in Canadian dollars ($).
7. Termination of the Contract. If the Contract is terminated it will not affect: (i) our right to receive any money which you owe to us under the Purchase Terms; (ii) any limitation of our liability contained herein; (iii) any requirement for you to indemnify us contained herein; (iv) the dispute resolution clause in paragraph 10;
8. LimitationonourLiability.
(a) Except for fraud or fraudulent misrepresentation, and to the extent permitted by law, we will only be liable for any loss or damage which is a reasonably foreseeable consequence of a breach of
these Purchase Terms. Losses are foreseeable where they could be contemplated by you and us at the time these Purchase Terms are entered into.
9. Indemnification. You agree to indemnify, defend, and hold harmless, Drive Protected, our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable lawyer fees made by any third-party due to, or arising out of, your breach of these Purchase Terms and any other terms or conditions incorporated by reference, or your violation of any law or the rights of a third-party.
10.Disputes. We will try to resolve any disputes quickly and efficiently. If you are unhappy with the way
we deal with any dispute and you want to take court proceedings, the courts of Manitoba will have exclusive jurisdiction to hear any dispute related to these Purchase Terms. Relevant Manitoba law will apply to these Purchase Terms.
11.General.
(a) These Purchase Terms are dated May 31, 2024. No changes to these Purchase Terms are valid or have any effect unless agreed by us in writing. We reserve the right to vary these Purchase Terms and conditions from time to time. Our new terms will be displayed on the Site, and you agree to be bound by any variation made by us prior to us sending you a Confirmation E-mail. It is your responsibility to check these Purchase Terms from time to time to verify such variations.
(b) Unless otherwise expressly stated in these Purchase Terms, all notices from you to us must be in writing and sent to our contact address at 885 Monticello Wy, Winkler, MB (with copy to our legal representative at Levi Abram Law Corporation, Attn. Levi A. Taylor 390E 1st Street Winkler, MB R6W 2R6) and all notices from us to you will be displayed on our website from to time.
(c) We shall have no liability to you for any breach of these Purchase Terms caused by any event or circumstance beyond our reasonable control including, without limitation, strikes, lockouts and other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident.
(d) If any part of these Purchase Terms is unenforceable (including any provision in which we exclude or limit our liability to you) the enforceability of any other part of these Purchase Terms will not be affected.
(e) If we choose not to enforce any right that we have against you at any time, then this does not prevent us from later deciding to exercise or enforce that right.
(f) These Purchase Terms, together with our Website Terms of Service, our Privacy Policy, and any applicable Additional Terms contain the entire understanding and agreement between us and you in relation to your purchase of a product from us. These Purchase Terms supersede and replace any representation, statement or other communication (whether written or otherwise) made by you or us which is not contained herein. Save for fraud or fraudulent misrepresentation, we shall have no liability for any such representation being untrue or misleading.
(g) You may not assign, sublicense or otherwise transfer any of your rights and obligations in these Purchase Terms to any other person.
(h) These Purchase Terms shall be construed in accordance with and governed by the laws in effect within the province of Manitoba, Canada. The Courts of Manitoba shall have exclusive jurisdiction over all disputes related to these Purchase Terms and any purchase.
(i) Headings are inserted for convenience only and shall not limit the effect of these Purchase Terms.
(j) The parties acknowledge that they have required that these Purchase Terms and all related documents be prepared in English. Les parties reconnaissent avoir exigé que la présente convention et tous les documents connexes soient rédigés en anglais.
